Welcome to GNLR ("Granular," "Granular Seoul," "GNLR," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the GNLR website, services, and related features (collectively, the "Platform").

By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

GNLR is a curated discovery and booking platform for contemporary visual production in Seoul.

The Platform enables users to discover independent creative professionals, production spaces, agencies, and collaboration opportunities, and to submit booking or collaboration inquiries.

Unless expressly stated otherwise, all services listed on the Platform are provided by independent third parties. GNLR is not the provider of those services and does not employ, represent, or control the independent providers featured on the Platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform.

You agree to provide accurate and complete information when submitting inquiries or communicating through the Platform.

3. Booking Inquiries

Users may submit booking or collaboration inquiries through forms or other contact methods available on the Platform.

By submitting an inquiry, you authorize GNLR to use the information you provide to respond to your request, communicate with relevant providers, and facilitate potential bookings or collaborations.

Submitting an inquiry does not guarantee availability, acceptance, or confirmation of a booking.

4. Listings and Editorial Curation

GNLR is a curated platform. We reserve the right to review, approve, edit, reject, suspend, or remove any listing, collaboration opportunity, image, or other content submitted to the Platform.

Our editorial review is intended to maintain the quality and relevance of the Platform and should not be interpreted as an endorsement, certification, or guarantee of any provider or service.

Providers are solely responsible for ensuring that the information they submit is accurate, complete, and lawful.

5. Bookings

Bookings and collaborations arranged through the Platform are agreements between the user and the independent provider unless expressly stated otherwise.

Providers are solely responsible for the services they offer and deliver.

Users are responsible for evaluating whether a provider, space, agency, or collaboration is suitable for their needs before proceeding with a booking or agreement.

6. Payments

For certain bookings, GNLR may facilitate payment collection on behalf of independent providers and may charge commissions, service fees, or other applicable charges.

Available payment methods may vary and will be presented during the booking process.

Processing a payment through the Platform does not make GNLR the provider of the booked service.

7. Cancellations

Cancellation and refund policies may vary depending on the provider or booking.

Where applicable, the relevant terms will be communicated before a booking is confirmed.

8. Collaborations

GNLR may feature collaboration opportunities submitted by businesses, agencies, spaces, creators, or other members of the creative community.

While submissions are reviewed before publication, GNLR does not guarantee the availability, accuracy, legitimacy, or outcome of any collaboration opportunity. Participation in collaborations is undertaken at the participants' own discretion and risk.

9. Acceptable Use

You agree to use the Platform lawfully and respectfully.

You may not:

• Submit false, misleading, or fraudulent information.
• Infringe the intellectual property or other rights of any person or entity.
• Use the Platform for unlawful, harmful, abusive, discriminatory, or deceptive purposes.
• Interfere with the operation, security, or functionality of the Platform.
• Attempt to gain unauthorized access to any part of the Platform or its systems.

We reserve the right to remove content or refuse access to users who violate these Terms.

10. Intellectual Property

Unless otherwise stated, all content on the Platform, including its design, branding, text, graphics, logos, and other materials, is owned by or licensed to GNLR and is protected by applicable intellectual property laws.

Providers and users retain ownership of the content they submit to the Platform but grant GNLR a non-exclusive, worldwide, royalty-free license to display, reproduce, modify for formatting purposes, and use such content in connection with operating, promoting, and improving the Platform.

You represent that you have the necessary rights to any content you submit.

11. Disclaimer

GNLR provides a curated platform for discovering independent providers and creative opportunities.

While we review listings to maintain the quality of the Platform, we do not guarantee the accuracy, availability, legality, safety, quality, or outcomes of any provider, service, booking, or collaboration.

Users are responsible for conducting their own due diligence before entering into any agreement or transaction.

12. Limitation of Liability

To the fullest extent permitted by applicable law, GNLR shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business opportunities, data, or reputation, arising out of or relating to the use of the Platform or any services provided by independent third parties.

GNLR is not responsible for disputes, delays, cancellations, misconduct, negligence, property damage, personal injury, or other claims arising from interactions or agreements between users and independent providers.

13. Indemnification

You agree to indemnify and hold harmless GNLR, its owners, affiliates, and representatives from any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising from:

• your use of the Platform;
• your violation of these Terms;
• your violation of applicable laws; or
• your infringement of the rights of any third party.

14. Suspension and Termination

GNLR may suspend, restrict, or terminate access to the Platform, remove listings, or refuse future use of the Platform at its discretion where necessary to protect the Platform, its users, or its community.

15. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published on the Platform with a revised "Last updated" date. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea, unless otherwise required by applicable law.
